Terms and Conditions MediMSG – WhatsApp Messaging Platform for Healthcare Professionals Last Updated: [01/01/2026] These Terms and Conditions (“Terms”) govern the access to and use of MediMSG, a WhatsApp messaging and automation platform owned and operated by Neugenic Mediventure Collective Private Limited, a company incorporated under the Companies Act, 2013, India (“Company”, “We”, “Us”, “Our”). By accessing, registering, or using MediMSG, you (“User”, “You”, “Your”) agree to be legally bound by these Terms. If you do not agree, please discontinue use immediately. 1. About MediMSG MediMSG is a technology platform that enables Meta-Verified WhatsApp messaging, automation, campaign management, analytics, and AI-assisted communication tools for professionals, businesses, and organizations. The Company is a technology service provider and does not control or operate WhatsApp or Meta platforms. 2. Eligibility & User Obligations By using MediMSG, You confirm that: - You are at least 18 years of age - You have the legal authority to bind the organization You represent - All information provided is accurate and up to date - You will comply with applicable Indian laws, IT laws, and Meta/WhatsApp policies - You agree not to misuse the platform for any unlawful, misleading, fraudulent, abusive, or unethical purpose. 3. Account Registration & Security - Users must create an account to access MediMSG services. - You are solely responsible for maintaining the confidentiality of login credentials. - Any activity performed through Your account shall be deemed authorized by You. - The Company shall not be liable for unauthorized access caused by User negligence. 4. Platform Usage & Compliance You expressly agree that: - All messaging must comply with Meta WhatsApp Business Policies - Explicit consent must be obtained from recipients before messaging - You shall not send spam, promotional abuse, or unsolicited communication - You shall not use MediMSG for political campaigning, misinformation, or prohibited content - The Company reserves the right to suspend or terminate accounts violating policies without prior notice. 5. Third-Party Services (Meta / WhatsApp) MediMSG operates via officially approved Meta APIs. - WhatsApp availability, delivery, pricing, or restrictions are governed by Meta. - The Company is not responsible for WhatsApp downtime, blocking, or policy changes. - Any penalties or restrictions imposed by Meta shall be solely borne by the User. 6. Subscription Plans & Payments MediMSG operates on paid subscription-based plans. - Prices, features, and limits are defined on the website or commercial agreement. - All fees are exclusive of applicable taxes unless stated otherwise. - Payments once made are non-refundable, unless explicitly stated in writing. - The Company reserves the right to revise pricing or plan features with prior notice. 7. Intellectual Property Rights All rights, title, and interest in: - Software - Platform architecture - Trademarks - Branding - Content belong exclusively to Neugenic Mediventure Collective Private Limited. - Users are granted a limited, non-transferable, revocable license to use MediMSG for lawful purposes only. 8. Data Privacy & Confidentiality - User data is handled as per the Privacy Policy. - The Company does not sell user data. - Users retain ownership of their uploaded data. - The Company may access data solely for technical support, compliance, or legal requirements. 9. Service Availability & Modifications - The Company strives for high availability but does not guarantee uninterrupted access. - Maintenance, updates, or upgrades may cause temporary disruptions. - Features may be modified, added, or discontinued without liability. 10. Limitation of Liability To the maximum extent permitted by law: - The Company shall not be liable for indirect, incidental, or consequential damages. - The Company is not responsible for business losses, revenue loss, or reputational damage. - Total liability, if any, shall not exceed the amount paid by the User in the preceding 3 months. 11. Indemnification - You agree to indemnify and hold harmless the Company from any claims, losses, damages, or legal proceedings arising from: Violation of these Terms - Breach of WhatsApp/Meta policies - Illegal or unethical use of the platform 12. Suspension & Termination The Company may suspend or terminate access: - For violation of these Terms - For legal or regulatory reasons - For non-payment of dues - Upon suspicion of misuse or abuse - Termination shall not affect accrued payment obligations. 13. Governing Law & Jurisdiction - These Terms shall be governed by the laws of India. - All disputes shall be subject to the exclusive jurisdiction of courts in India. 14. Amendments - The Company may revise these Terms from time to time. Continued use after updates constitutes acceptance of the revised Terms. 15.
